1. Introduction and Acceptance

These Terms & Conditions ("Terms") govern your access to and use of all educational programs, products, services, materials, and communications offered by Chaitanya Vinyasa ("Chaitanya Vinyasa," "we," "us," or "our"), the trading brand of Move Conscious LLC, a limited liability company registered in the State of New Mexico, United States, which is the legal entity responsible for all Programs, contracts, and obligations described in these Terms. Throughout these Terms, "Move Conscious LLC" is used only where a provision refers specifically to the legal entity itself (for example, in connection with contract formation, indemnification, or notices); "Chaitanya Vinyasa," "we," "us," and "our" are used everywhere else and carry the same legal meaning.

By enrolling in a training, purchasing a product, registering for a course, accessing our website, or otherwise engaging with our programs, you ("Participant," "Student," or "you") agree to be bound by these Terms. If you do not agree, please do not enroll in or access our programs or materials.

These Terms apply to all current offerings and any future educational products we introduce, including but not limited to: 200-Hour Teacher Trainings, 300-Hour Teacher Trainings, 50-Hour Chaitanya Vinyasa Trainings (Level 1 and Level 2), short mobility and inversion trainings, workshops, retreats, online courses, live online programs, memberships, digital downloads, recorded trainings, mentoring programs, certifications, teacher licensing, Licensed Trainer programs, Licensed School programs, and any other educational product, format, or service later developed or introduced under the Chaitanya Vinyasa brand (collectively, the "Programs").

Where any provision of these Terms conflicts with a mandatory consumer protection law of the jurisdiction in which you reside or in which you purchased a Program, the mandatory law will govern to the extent of that conflict, and the remainder of these Terms will continue to apply.

1.1 International Operation

Chaitanya Vinyasa operates internationally, delivering Programs in multiple countries through both in-person trainings hosted at partner venues abroad and online platforms accessible worldwide. Because Move Conscious LLC is a United States entity contracting with Participants located around the world, these Terms are written to apply consistently across jurisdictions while expressly preserving any consumer protection rights that cannot be waived under local law, as described in Section 23. Participants enrolling from outside the United States should be aware that, except where local mandatory law requires otherwise, these Terms โ€” including the governing law and dispute resolution provisions in Section 26 โ€” apply to their enrollment.

1.2 Who These Terms Apply To

These Terms apply to every individual or organization that interacts with a Program in any capacity, including prospective Students researching a Program, enrolled Students, Certified Graduates, Certified Teachers, Licensed Teachers, Licensed Trainers, Licensed Schools, and members of any paid or free Chaitanya Vinyasa community, mailing list, or platform. Where a separate written agreement exists for a specific relationship (such as a licensing agreement), that agreement governs the specific matters it addresses, and these Terms continue to apply to all other matters not addressed in that separate agreement.


2. Definitions

To avoid ambiguity, particularly regarding certification and licensing โ€” which are distinct and separate concepts โ€” the following terms have the meanings set out below wherever they are used in these Terms or in any Chaitanya Vinyasa materials:

  • "Student" means any individual who has registered for, or is currently enrolled in, a Program but has not yet completed it.
  • "Certified Graduate" means an individual who has completed all requirements of a given Program but has not yet been issued a certification credential, or whose certification is pending administrative processing.
  • "Certified Teacher" means an individual who has successfully met all attendance, practical, academic, ethical, and professional requirements of a Chaitanya Vinyasa training and has been formally issued a certification by us. Certification reflects completion of educational standards. It does not, by itself, grant any right to use Chaitanya Vinyasa trademarks, brand assets, or the Chaitanya Vinyasa name in a commercial or representative capacity beyond accurately describing one's own credential (e.g., "Certified in Chaitanya Vinyasa Level 1").
  • "Licensed Teacher" means an individual who, in addition to holding certification, has entered into a separate, written licensing agreement with us authorizing limited use of designated brand assets, terminology, or certification marks, subject to the terms of that licensing agreement.
  • "Licensed Trainer" means an individual who has entered into a written licensing agreement with us authorizing them to deliver Chaitanya Vinyasa training programs to others under specified conditions.
  • "Licensed School" means an organization or studio that has entered into a written licensing agreement with us authorizing it to host, market, or deliver Chaitanya Vinyasa Programs under the Chaitanya Vinyasa name, subject to the terms of that agreement.
  • "Materials" means all manuals, teacher manuals, curricula, sequencing frameworks, assessments, examinations, quizzes, videos, recordings, audio recordings, podcasts, books, journals, workbooks, downloads, PDFs, written content, graphics, photography, presentations, software, mobile applications, teacher portals, digital tools, and any other educational or promotional content or technology created, owned, or licensed by us, whether currently existing or developed in the future and regardless of format.
  • "Method" means the Chaitanya Vinyasa teaching methodology, sequencing methodology, certification framework, and licensing framework, together with the overall educational architecture, pedagogical framework, progression systems, terminology, educational structure, teaching systems, and assessment methodologies through which these are organized and expressed, and all underlying philosophical, structural, and pedagogical elements.

Certification does not automatically confer licensing rights. A Certified Teacher is not, by virtue of certification alone, a Licensed Teacher, Licensed Trainer, or Licensed School, and has no right to teach, train, certify, or license others using the Chaitanya Vinyasa name or Method unless a separate written licensing agreement has been executed. This distinction is fundamental to these Terms and is addressed further in Sections 5 and 6.

2.1 Additional Defined Terms

  • "Program-Specific Terms" means any additional terms, requirements, or policies communicated to a Participant at the time of enrollment in a specific Program (for example, a retreat itinerary, a specific assessment rubric, or a specific training's attendance policy), which supplement these Terms and are read together with them. In the event of a direct conflict between Program-Specific Terms and these Terms, the Program-Specific Terms govern with respect to that particular Program only.
  • "Membership" means any recurring, subscription-based access arrangement to Chaitanya Vinyasa content, community, or events, however named or structured.
  • "Faculty" means any teacher, trainer, assistant, mentor, or other individual authorized by us to deliver, assess, or support a Program, whether employed directly or engaged as an independent contractor.
  • "Platform" means any website, learning management system, mobile application, community forum, messaging group, social media group, or other digital community, communication, or collaboration environment, whether currently used or adopted in the future, that we use to deliver or support a Program.
  • "Brand Assets" means the Chaitanya Vinyasa name and logo, taglines, visual identity systems, certification marks, and any other source-identifying assets, whether currently in use or developed in the future.

2.2 Why This Distinction Matters

Because Chaitanya Vinyasa is structured as a protected educational methodology rather than a generic style of yoga, the boundaries between these categories of relationship are treated with particular care throughout these Terms. A Student who completes a Program and is not certified remains a Student of that Program for record-keeping purposes, but holds no credential. A Certified Teacher holds a credential reflecting educational attainment but holds no commercial rights to the Method beyond their own personal teaching practice, and even that personal use remains subject to the intellectual property protections in Section 4. Only a Licensed Teacher, Licensed Trainer, or Licensed School holds any contractual right to use Brand Assets, official terminology, or certification marks in a representative or commercial capacity, and only to the extent set out in their specific licensing agreement.


3. About Chaitanya Vinyasa

Chaitanya Vinyasa is an international education company specializing in yoga, movement, mobility, teacher development, and professional education, providing structured movement education, teacher training, and certification programs. Chaitanya Vinyasa is a trading brand of Move Conscious LLC, which is the legal entity responsible for all contractual relationships, payments, and obligations described in these Terms. References to "Chaitanya Vinyasa" in marketing or program materials refer to the brand under which Move Conscious LLC operates.

We reserve the right to expand, modify, or discontinue any Program, and to introduce new educational products, formats, certification levels, or licensing structures, at our discretion, consistent with the terms of any agreement already in place with existing Participants.

3.1 The Method

Chaitanya Vinyasa is built around a defined internal architecture rather than a loosely assembled sequence of postures. The Method reflects a structured progression โ€” described internally as moving through Effort, Coordination, and Clarity โ€” supported by a defined certification pathway from Certified Teacher through Senior Teacher, Licensed Trainer, and Accredited School. This architecture, together with its associated terminology, sequencing logic, and assessment standards, is part of the Materials and Method protected under Section 4, and is what distinguishes a Chaitanya Vinyasa credential from a generic teacher training certificate.

3.2 Faculty and Delivery

Programs may be delivered by the founder of Chaitanya Vinyasa directly, by employed staff, or by independent contractor Faculty engaged by us to teach specific modules, assist trainings, or support mentoring relationships. References in these Terms to actions taken "by us" include actions taken through authorized Faculty acting within the scope of their engagement.

3.3 Locations and Formats

Programs may be delivered in person at venues operated by us or by third-party host venues (such as retreat centers or partner studios), online through live or recorded formats, or through a hybrid of both. The specific format, location, and schedule of a given Program will be described in the relevant Program-Specific Terms at the time of enrollment, subject to our right to make reasonable changes as described in Section 19.


4. Intellectual Property Rights

4.1 Ownership

All right, title, and interest in and to the following, whether currently existing or developed in the future, are and will remain our exclusive property:

  • The "Chaitanya Vinyasa" name, all associated trademarks (registered or unregistered), logos, taglines, and brand identity elements;
  • The Method, including its educational framework, teaching methodology, sequencing methodology, certification framework, and licensing framework;
  • The overall educational architecture, pedagogical framework, progression systems, terminology, educational structure, teaching systems, assessment methodologies, certification architecture, and licensing architecture through which the Method is organized and expressed โ€” protection extends to this overall organization and expression of the Method as a whole, and not merely to individual documents or recordings in which it is recorded;
  • All Materials, including manuals, teacher manuals, curricula, course structures, assessments, written content, graphics, and photography;
  • All videos, recorded classes, livestream recordings, and digital downloads;
  • All books, journals, workbooks, podcasts, audio recordings, examinations, and quizzes, whether published under the Chaitanya Vinyasa name or otherwise;
  • Any mobile applications, software, teacher portals, digital tools, and educational technologies developed or used by us in connection with the Method;
  • Any future trademarks, technologies, platforms, formats, or educational materials developed or acquired by us, including formats not yet developed or contemplated as of the date of these Terms.

No provision of these Terms, no completion of a Program, and no payment made to us transfers ownership of any of the foregoing to any Participant, Student, Certified Teacher, Licensed Teacher, Licensed Trainer, or Licensed School.

4.2 Limited License to Participants

Upon enrollment and payment, Participants are granted a limited, non-exclusive, non-transferable, revocable license to access and use the Materials solely for their own personal education and, where applicable, for their own teaching practice consistent with the scope of their certification or license. This license does not extend to commercial reproduction, redistribution, or the creation of derivative training materials.

4.3 Prohibited Uses

Without our prior written consent, no person may:

  • Copy, reproduce, scan, or duplicate any Materials, in whole or in part;
  • Redistribute, share, sell, rent, or sublicense any Materials;
  • Translate any Materials into another language for distribution to third parties;
  • Use any Materials, the Method, or the Chaitanya Vinyasa name for commercial purposes outside the scope of an applicable license;
  • Adapt, modify, or create derivative works based on the Materials or the Method;
  • Use any Materials, recordings, manuals, or curricula to train, fine-tune, prompt, or otherwise develop any artificial intelligence or machine learning system, or to generate AI-produced derivative works based on the Materials;
  • Mass-download, scrape, mirror, or systematically extract content from any Chaitanya Vinyasa platform, course portal, or membership area;
  • Share login credentials, course access, or membership access with any third party;
  • Forward, upload, or otherwise distribute PDFs, manuals, or recordings outside of personal use;
  • Develop or offer a certification system that is substantially derived from the Chaitanya Vinyasa certification framework or proprietary Materials;
  • Develop or offer a teacher training program that is substantially similar to, or substantially derived from, proprietary Chaitanya Vinyasa Materials or the Method, whether or not the Chaitanya Vinyasa name is used.

This Section 4.3 survives completion, withdrawal, suspension, or termination of any Program, and survives the expiration, suspension, or revocation of any certification or license.

4.4 Enforcement

We reserve all rights and remedies available under applicable copyright, trademark, trade secret, and unfair competition law, including injunctive relief and recovery of damages, against any person or entity that violates this Section 4.

4.5 Artificial Intelligence and Emerging Technologies

As artificial intelligence and machine learning technologies continue to develop, we expressly reserve all rights to control how the Materials and Method are used in connection with such technologies. No person may use any Materials โ€” including manuals, recordings, transcripts, written content, or curricula โ€” to train, fine-tune, or otherwise develop any artificial intelligence model, to generate AI-produced summaries, translations, or derivative training materials intended for redistribution, or to build any automated tool that reproduces, approximates, or substitutes for the Method. Without limiting the foregoing, no person may use AI voice cloning, AI-generated avatars, or other synthetic reproductions of any teacher's voice, likeness, or teaching delivery; compile automated transcription libraries of our content for redistribution; or generate AI-produced commercial derivative works based on the Materials or the Method. This restriction applies regardless of whether the resulting output is offered for free or for commercial gain, and applies to future generative or other technologies not specifically contemplated at the time these Terms were written.

4.6 Trademarks

"Chaitanya Vinyasa," the Chaitanya Vinyasa logo, and other Brand Assets are our trademarks, whether or not they bear the ยฎ or โ„ข symbol in a given instance. No license to use any Brand Asset is granted by virtue of certification, enrollment, or these Terms generally; any such use requires a separate written licensing agreement as described in Section 6. We may require any individual or organization that is not currently authorized, or whose authorization has ended, or who is misrepresenting their relationship with Chaitanya Vinyasa, to immediately cease using our logos, branding, marketing materials, certification marks, official terminology, websites, social media accounts or handles referencing Chaitanya Vinyasa, and any other promotional material bearing our Brand Assets.

4.7 No Representation of Modified Versions

No Participant, Certified Teacher, Licensed Teacher, Licensed Trainer, or Licensed School may represent a modified, adapted, derivative, or substantially altered version of the Method as official Chaitanya Vinyasa teaching without our prior written permission. Where modification or personal adaptation of the practice is appropriate to an individual's own teaching context, it must be clearly identified as the individual's own interpretation and must not be marketed or presented in a manner that suggests it is an official Chaitanya Vinyasa Program, curriculum, or certification.

4.8 Confidential Information

In the course of certification and licensing relationships, Participants, Certified Teachers, Licensed Teachers, Licensed Trainers, and Licensed Schools may have access to confidential information, including internal assessments, evaluation criteria, faculty discussions, instructor-only materials, teaching notes, unpublished curriculum, and internal educational processes ("Confidential Information"). Confidential Information remains our property and may not be shared publicly or with any third party without our prior written consent. This obligation survives the completion, withdrawal, suspension, or termination of any Program, certification, or license.

4.9 Evolution of the Method

Chaitanya Vinyasa is intended to remain a carefully curated educational methodology. We reserve the exclusive right to determine how the Method evolves, and how it is represented, taught, certified, licensed, and commercially developed, including the right to revise the Method's terminology, sequencing, assessment criteria, and certification or licensing architecture over time.


5. Certification

5.1 Certification Is Not Automatic

Enrollment in, attendance at, or payment for a Program does not, by itself, guarantee that a Participant will be certified. Certification is an academic and professional credential reflecting that a Participant has met defined standards, not merely that a course was attended.

5.2 Requirements

To be eligible for certification, a Participant must successfully meet:

  • Attendance requirements โ€” minimum required contact hours and participation, as specified for the relevant Program;
  • Practical requirements โ€” demonstrated competency in practice, teaching, and assisting, as assessed by our Faculty;
  • Academic requirements โ€” completion of required coursework, assignments, readings, and assessments;
  • Ethical requirements โ€” conduct consistent with the professional and ethical standards expected of a Chaitanya Vinyasa graduate; and
  • Professional standards โ€” overall demonstrated readiness to represent the Method responsibly.

Each Program may establish its own minimum attendance requirements, specified in the relevant Program-Specific Terms. Failure to meet the minimum attendance requirement for a given Program may result in certification being withheld, regardless of a Participant's performance in other respects, unless we expressly agree to an alternative path to completion.

5.3 Right to Withhold Certification

We reserve the right, in our reasonable professional judgment, to withhold, delay, or decline certification where a Participant has not met the requirements described above, regardless of attendance or payment status. Where certification is withheld, we will, where reasonably practicable, communicate the relevant deficiency and, where appropriate, offer a path to remediation (such as additional coursework, a supplementary assessment, or a future opportunity to complete outstanding requirements), at our discretion and subject to any applicable fees.

5.4 Assessment and Appeals

Assessment decisions are made by Faculty based on the standards applicable to the relevant Program. A Participant who disputes an assessment outcome may request, in writing within 30 days of being notified of the outcome, a review by a senior member of Faculty not directly involved in the original assessment. We will respond to such a request within a reasonable time. This internal review process does not limit any other right the Participant may have under applicable law.

5.5 Certification Records and Re-Issuance

We maintain records of certifications issued. A Certified Teacher may request a duplicate or replacement certificate, subject to a reasonable administrative fee. We reserve the right to update the format, design, or verification method of certificates issued in the future without affecting the validity of certificates already issued.

5.6 Continuing Standards

Certification reflects a Participant's standing at the time it is issued. We reserve the right to revoke a certification issued where we later determine, based on credible evidence, that the certification was obtained through fraud, material misrepresentation, or a serious and substantiated breach of the ethical or professional standards described in Section 5.2, following a process that gives the Certified Teacher a reasonable opportunity to respond before a final decision is made.


6. Licensing

6.1 Licensing Is a Separate Relationship

Certification reflects the completion of educational standards. Licensing is an entirely separate commercial and contractual relationship, governed by its own written agreement, which a Certified Teacher, Licensed Teacher, Licensed Trainer, or prospective Licensed School must enter into separately with us. Nothing in these Terms, and no certification issued under Section 5, creates, implies, or guarantees any licensing rights. Certification never creates any expectation, entitlement, or guaranteed right to receive a license of any kind. Licensing remains entirely discretionary on our part and is granted, if at all, solely under the terms of a separate written licensing agreement.

6.2 Categories of Licensing

We may offer licensing relationships including, without limitation:

  • Licensed Teacher โ€” authorization for limited use of designated brand assets, terminology, or certification marks in connection with the licensee's own teaching;
  • Licensed Trainer โ€” authorization to deliver Chaitanya Vinyasa training programs to others;
  • Licensed School โ€” authorization for an organization or studio to host or market Chaitanya Vinyasa Programs under the Chaitanya Vinyasa name.

Each such relationship is governed by a separate written licensing agreement that sets out the specific scope, fees, territory, duration, quality standards, and obligations applicable to that license.

6.3 Grant, Refusal, Suspension, and Revocation

We reserve the right, at our discretion and acting reasonably, to:

  • Grant or refuse to grant a license to any applicant, even where that applicant holds certification;
  • Suspend a license, including for failure to maintain quality, ethical, or brand standards, pending investigation or remediation;
  • Revoke a license where standards are not maintained, where the terms of the applicable licensing agreement are breached, or where continued licensing would be inconsistent with the integrity of the Method or brand; and
  • Decline to renew a license upon its expiration.

6.4 Effect of Licence Termination

Where a license is suspended, revoked, or not renewed, the affected individual or organization must immediately cease all use of:

  • The Chaitanya Vinyasa name and brand assets;
  • Official Chaitanya Vinyasa logos;
  • Official terminology associated with the Method, certification framework, or licensing framework;
  • Certification marks and credentials associated with licensed status; and
  • Any marketing materials referencing licensed status with Chaitanya Vinyasa.

Underlying certification (as distinct from licensing) is not automatically affected by the termination of a license unless the conduct giving rise to license termination also independently constitutes grounds for certification revocation under Section 5 or the Code of Conduct in Section 15.

6.5 Quality Standards and Brand Consistency

Because Licensed Teachers, Licensed Trainers, and Licensed Schools represent the Method to the public, each licensing agreement will set out specific quality, ethical, and brand-consistency standards the licensee must maintain, which may include requirements regarding curriculum fidelity, approved use of Brand Assets, pricing transparency, and professional conduct. We reserve the right to conduct reasonable oversight of licensed activity, including requesting materials, attending sessions, or reviewing marketing content, to confirm these standards are being met.

6.6 Territory, Fees, and Duration

Licensing agreements may specify a defined territory, duration, royalty or licensing fee structure, and renewal terms applicable to the specific license granted. No exclusivity in any territory or market is implied by these Terms; any exclusivity must be expressly granted in the relevant written licensing agreement.

6.7 Continuing Education and Renewal Requirements

To maintain a license in good standing, Licensed Teachers, Licensed Trainers, and Licensed Schools may be required to complete continuing education, periodic mentorship, reassessments, renewal requirements, and quality reviews, as specified in the applicable licensing agreement. These requirements relate solely to the maintenance of licensing status and do not affect the validity of the underlying certification described in Section 5, which remains governed exclusively by Section 5.

6.8 Independent Contractor Status

Unless otherwise expressly stated in a written licensing agreement, a Licensed Teacher, Licensed Trainer, or Licensed School operates as an independent business, and nothing in these Terms or in a licensing agreement creates an employment, agency, partnership, or joint venture relationship between the licensee and us. Licensees are solely responsible for their own business operations, taxes, insurance, and compliance with local law applicable to their teaching or training activities.

6.9 Licensed Schools Do Not Acquire Ownership

A Licensed School does not, by virtue of its license, acquire any ownership interest in our curriculum, manuals, certification framework, student records, training structure, educational materials, or trademarks. A Licensed School's rights are limited to those expressly granted in its written licensing agreement and do not include any ownership right unless expressly agreed by us in writing.

6.10 No Sublicensing by Licensed Trainers

A Licensed Trainer may not sublicense, delegate, or otherwise authorize any third party to teach, certify, or license others using the Method or the Chaitanya Vinyasa name unless expressly authorized to do so in writing by us. Any such unauthorized sublicensing is a material breach of the Licensed Trainer's licensing agreement and may result in immediate suspension or revocation of their license under Section 6.3.


7. Enrollment, Payments, and Payment Plans

7.1 Enrollment

Enrollment in a Program is confirmed upon receipt of the required deposit or payment in full, as applicable, and acceptance of these Terms.

7.2 Payment Plans

Where we offer a payment plan, the Participant agrees to make each scheduled payment by its due date. Payment plans are a convenience offered to facilitate access to Programs and do not alter the total amount owed.

7.3 Failed or Late Payments

Where a scheduled payment is not received by its due date, we reserve the right to:

  • Suspend the Participant's access to course materials, online platforms, or membership benefits;
  • Suspend or pause the Participant's membership;
  • Withhold or reassign the Participant's place in an in-person or live training to another applicant;
  • Withhold certification, even where the Program has otherwise been completed, until outstanding amounts are paid in full.

We will make reasonable efforts to notify the Participant of a missed payment and provide an opportunity to remedy it before taking the actions described above.

7.4 Obligation to Pay Remaining Balance

If a Participant attends and completes a Program, any remaining balance under a payment plan remains payable in full according to the original payment schedule, regardless of the Participant's subsequent decision not to pursue certification or licensing.

7.5 Withdrawal Before Attendance

If a Participant withdraws from a Program before it begins, the Participant is not obligated to continue making future scheduled instalments. However, amounts already paid โ€” including the deposit described in Section 10 โ€” remain non-refundable or subject to the refund schedule set out in Section 11, as applicable.

7.6 Currency, Taxes, and Fees

Prices are listed in the currency specified at the time of purchase, generally United States Dollars unless otherwise stated. Participants are responsible for any currency conversion fees, bank charges, or payment processor fees incurred in connection with their payment. Where applicable, Participants are responsible for any taxes, duties, or similar governmental charges associated with their purchase, except for taxes based on our own net income.

7.7 Price Changes

We may change the pricing of any Program at any time for future enrollments. A price change does not affect a Participant who has already enrolled and is bound by the price in effect at the time of their enrollment, except where an increase is expressly contemplated by these Terms (for example, pricing differences applicable to a transferred deposit under Section 10.2).


8. Memberships and Mentoring

8.1 Memberships

Where we offer a recurring Membership, the Membership renews automatically at the interval and price disclosed at sign-up until cancelled by the Participant. Participants may cancel a Membership at any time, effective at the end of the current billing period, by contacting [email protected] or through any self-service cancellation tool provided on the relevant Platform. Membership fees already charged for the current billing period are non-refundable, except where required by applicable law.

8.2 Mentoring

Mentoring relationships, whether one-to-one or in small groups, are offered for a defined term or number of sessions as described at the time of purchase. Unused sessions generally do not carry over beyond the stated term unless otherwise agreed in writing. Mentoring is educational and developmental in nature and does not constitute professional, medical, financial, or psychological counseling.

9. Digital Products

Digital products โ€” including online courses, recorded trainings, digital downloads, and on-demand membership content โ€” are non-refundable once access has been granted, except where a refund is required by applicable consumer protection law in the Participant's jurisdiction. Where such mandatory rights apply, we will honor them in accordance with the applicable law.

Participants are encouraged to review available previews, course descriptions, and curricula carefully before purchasing digital products, and to contact us with any questions prior to purchase.


10. Training Deposits

10.1 Deposits Are Non-Refundable

Deposits paid to secure a place in an in-person training, retreat, or immersive Program are non-refundable under all circumstances, including cancellation by the Participant, except where mandatory consumer protection law requires otherwise. This policy reflects the fact that deposits are used to secure venues, teaching faculty, accommodation arrangements, educational materials, administrative costs, and other expenses that are committed and non-recoverable by us well in advance of the training date.

10.2 Deposit Transfer

A Participant who is unable to attend a training for which a deposit has been paid may transfer that deposit to another Chaitanya Vinyasa training within 12 months of the original training start date, subject to:

  • A USD 200 administration fee, deducted from the transferred deposit amount;
  • The Participant's responsibility for any increase in tuition or accommodation pricing applicable to the new training relative to the original training; and
  • Availability of a place in the new training.

Deposit transfers are available once per original deposit unless otherwise agreed in writing by Move Conscious.


11. Remaining Balance Refund Schedule

Where a Participant cancels their enrollment after paying a deposit and some or all of the remaining tuition balance, refunds of the remaining balance only (the deposit itself is excluded and governed by Section 10) are available according to the following schedule, measured from the date of written cancellation notice to the start date of the relevant training:

All refund requests must be submitted in writing to [email protected]. Approved refunds will be processed using a commercially reasonable method and timeframe.

This schedule reflects the genuine, pre-estimated costs and commitments we incur in planning and delivering in-person trainings and is intended as a reasonable pre-estimate of loss rather than a penalty.


12. Company Cancellation

If we cancel a training for any reason, affected Participants will be offered, at their election:

  • Transfer of all payments made to another available Chaitanya Vinyasa training; or
  • Refund of all payments made for the cancelled training (excluding any third-party accommodation costs addressed below).

Refunds under this Section will be processed within up to 180 days of the cancellation, reflecting the time that may be required to recover funds already committed to venues, faculty, and other third-party arrangements.

Where accommodation was arranged through a third-party provider and that provider does not refund amounts paid for accommodation, we are not able to guarantee or substitute a refund for that portion, as accommodation providers are independent third parties outside our control. See Section 14.


13. Force Majeure

We will not be liable for any failure or delay in performing our obligations, and will not be required to provide a refund beyond what is set out in these Terms, where such failure or delay arises from circumstances beyond its reasonable control, including but not limited to: war, armed conflict, civil unrest, terrorism, pandemics, epidemics, government-imposed travel or gathering restrictions, natural disasters, teacher illness or incapacity, venue closure, airline disruption or cancellation, border closures, strikes or labor disputes, power or utility failures, severe weather events, or any other event of a similar nature reasonably beyond our control ("Force Majeure Event").

Where a Force Majeure Event prevents a training from proceeding as planned, we will, where reasonably possible, offer affected Participants the options described in Section 12 (transfer or refund), but the 180-day processing allowance and the limitations regarding third-party accommodation refunds described in Section 14 will continue to apply.

Where a Force Majeure Event affects a Participant's individual ability to attend (for example, personal illness or travel disruption unrelated to a broader Force Majeure Event affecting the training itself), the standard cancellation and refund schedule in Section 11 applies, rather than this Section 13.

13.1 Notice and Mitigation

Where a Force Majeure Event arises, we will notify affected Participants as soon as reasonably practicable and will use commercially reasonable efforts to mitigate disruption, including exploring rescheduling, relocating a venue, or shifting a Program to an online format where feasible. Neither party is required to perform obligations rendered impossible or unsafe by a Force Majeure Event for so long as that event continues.

13.2 Travel Insurance

Given the international nature of our retreats and in-person trainings, Participants are strongly encouraged to obtain travel insurance covering trip cancellation, interruption, and medical emergencies. We do not provide travel insurance and are not responsible for travel costs, visa expenses, or other losses incurred by a Participant in connection with a Force Majeure Event or any other cancellation.


14. Accommodation

Where we arrange or recommend accommodation in connection with a retreat or in-person training, this is offered solely as a convenience to Participants. Accommodation providers (hotels, retreat centers, guesthouses, and similar venues) are independent third parties, not our employees, agents, or subsidiaries.

Refunds for accommodation costs are governed by the cancellation policy of the relevant third-party accommodation provider, which may differ from the policies set out in these Terms. We are not responsible for, and will not reimburse, accommodation costs that a third-party provider declines to refund.

Participants are encouraged to review the cancellation policy of any third-party accommodation provider before booking and to consider travel insurance where appropriate.


15. Health, Safety, and Code of Conduct

15.1 Health Disclosures

Participants must:

  • Disclose to us and relevant teaching faculty any medical conditions, injuries, or physical limitations reasonably relevant to safe participation in a Program;
  • Obtain medical clearance from a qualified healthcare provider where appropriate, particularly for physically demanding trainings, retreats, or pre-existing conditions;
  • Promptly inform teaching faculty of any change in their health or physical condition during a Program.

Teaching faculty may modify, limit, or prohibit a Participant's participation in specific postures, sequences, or activities where reasonably necessary for that Participant's safety or the safety of others.

15.2 Assumption of Risk

Participation in physical yoga practice carries inherent risk of injury. By enrolling, Participants acknowledge this inherent risk and agree to practice within their own physical limits and to follow the reasonable safety guidance of teaching faculty.

15.3 Code of Conduct

We may immediately remove a Participant from a Program, online community, or membership platform, without refund, where the Participant engages in:

  • Harassment or bullying of any kind;
  • Violence or threats of violence;
  • Discrimination on the basis of any protected characteristic;
  • Sexual misconduct;
  • Illegal drug use;
  • Dangerous behavior endangering themselves or others;
  • Serious disruption of the learning environment; or
  • Refusal to follow reasonable safety instructions from teaching faculty or staff.

More broadly, we may remove a Participant where, in our reasonable opinion, their continued participation compromises the safety, wellbeing, or learning environment of other Participants, the educational standards of the Program, the integrity of the Method, or the reputation of Chaitanya Vinyasa.

This Code of Conduct applies across all Chaitanya Vinyasa environments, including in-person trainings, retreats, online courses, live sessions, and any associated online communities (such as messaging groups or forums).


16. Recording Policy

16.1 Online Classes

Recording of live online classes, calls, or sessions by Participants is not permitted, except where we ourselves provide an official recording for participant access.

16.2 In-Person Trainings

Participants may record brief portions of an in-person training for personal study or social media sharing, unless recording is expressly prohibited for a particular session (for example, where confidential content, other participants' privacy, or proprietary sequencing is involved). Recording of substantial portions or the entirety of an in-person training is prohibited, consistent with the intellectual property protections in Section 4.


17. Photography and Media

Photography and video recording may take place during Programs, retreats, and events for promotional and archival purposes. Participants who do not wish to be photographed or recorded may opt out by notifying us in writing before the event, or by informing on-site staff or faculty during the event. We will make reasonable efforts to honor such preferences but cannot guarantee complete exclusion from incidental or background footage in group settings.


18. Payment Disputes and Chargebacks

If a Participant has a concern about a charge, they are asked to contact us first at [email protected] so the matter can be addressed directly. Where a Participant initiates a payment dispute or chargeback with their bank or payment provider without first contacting us, we reserve the right to suspend the Participant's access to Programs, Materials, or membership platforms while the dispute remains unresolved.

18.1 Resolution

Where a chargeback is found, following review by the relevant payment provider, to have been initiated for a charge that was properly authorized and for which the underlying Program or product was delivered in accordance with these Terms, we reserve the right to pursue recovery of the disputed amount, any associated processing fees, and to decline future enrollment from the Participant concerned.


19. Curriculum and Program Changes

We may make reasonable changes to teaching faculty, schedules, curricula, venues, delivery platforms, or educational materials, including in connection with the ongoing development and improvement of the Method, provided that the overall quality, scope, and core learning objectives of the Program remain substantially equivalent to what was described at the time of enrollment. Such changes do not, by themselves, entitle a Participant to a refund under Section 11 or 12.

19.1 Evolving Methodology

The Method is a living body of work that we continue to refine. Manuals, sequencing frameworks, and assessment criteria may be revised between training cohorts to reflect this ongoing development. Participants enrolled in a given cohort will be taught according to the curriculum in effect for that cohort, and revisions made for future cohorts do not retroactively apply to, or diminish the validity of, certifications already issued.


20. Disclaimers

Programs are provided for educational purposes. Nothing in our Programs, Materials, or communications constitutes medical advice, and Chaitanya Vinyasa trainings are not a substitute for professional medical or psychological care. Participants should consult a qualified healthcare provider regarding any health condition before beginning or continuing a physical practice.

To the maximum extent permitted by applicable law, we make no warranty, express or implied, regarding the suitability of any Program for a particular individual, and disclaims any implied warranties of merchantability or fitness for a particular purpose, except where such disclaimer is not permitted by applicable consumer protection law.

20.1 No Guarantee of Outcomes

Completing a Program, including obtaining certification, does not guarantee any particular professional, financial, or personal outcome, including income from teaching, employment, or business success. Any testimonials, case studies, or examples shared in our marketing reflect individual experiences and are not a representation of typical or guaranteed results.

20.2 Third-Party Content and Links

Programs and Platforms may reference, link to, or incorporate third-party content, tools, or services (for example, a third-party video hosting platform or payment processor). We are not responsible for the content, accuracy, availability, or practices of third parties, and inclusion of such references does not constitute an endorsement.


21. Limitation of Liability

To the maximum extent permitted by applicable law, our total liability arising out of or relating to any Program, Materials, or these Terms will not exceed the total amount paid by the Participant for the specific Program giving rise to the claim. We will not be liable for indirect, incidental, special, or consequential damages, including loss of income, loss of business opportunity, or travel-related losses, except to the extent such limitation is not permitted by applicable law.

Nothing in these Terms excludes or limits liability for death or personal injury caused by negligence, fraud, or any other liability that cannot lawfully be excluded or limited.

21.1 Basis of the Bargain

The Participant acknowledges that the limitations in this Section 21 reflect a reasonable allocation of risk that has been factored into the pricing of our Programs, and that we would not be able to offer Programs on the same commercial terms without these limitations.


22. Indemnification

To the extent permitted by applicable law, Participants agree to indemnify and hold harmless Move Conscious LLC, its officers, faculty, and contractors from any claims, damages, or expenses arising from the Participant's breach of these Terms, violation of the intellectual property protections in Section 4, or misconduct under Section 15.3.


23. Consumer Rights Notice

Some jurisdictions provide consumers with rights that cannot be waived or limited by contract, including certain rights to cancel, withdraw from, or obtain a refund for a purchase within a defined period, and certain rights regarding the quality and description of services. Nothing in these Terms is intended to exclude, limit, or override any such mandatory right available to you under the law of your country or state of residence. Where any provision of these Terms would otherwise conflict with such a mandatory right, that provision will apply only to the extent permitted by applicable law, and your mandatory rights will prevail.

24. Marketing Communications and Privacy

Where a Participant provides their email address or other contact information in connection with enrollment, a free resource, or a Platform sign-up, we may send communications related to that Program, as well as broader marketing communications about Chaitanya Vinyasa offerings, unless and until the Participant opts out. Every marketing email includes a clear method to unsubscribe.

We process personal information in connection with operating our Programs, including names, contact details, payment information, and health information voluntarily disclosed under Section 15.1. Such information is used to deliver Programs, process payments, communicate with Participants, and improve our offerings, and is handled in accordance with our separate Privacy Policy, which forms part of the agreement between the Participant and us and should be read alongside these Terms.

25. General Provisions

Entire Agreement. These Terms, together with any applicable licensing agreement, payment plan agreement, or program-specific terms communicated at enrollment, constitute the entire agreement between the Participant and Move Conscious LLC regarding the subject matter herein.

Severability. If any provision of these Terms is found to be unenforceable or invalid, that provision will be limited or eliminated to the minimum extent necessary, and the remaining provisions will remain in full force and effect.

Amendments. We may update these Terms from time to time to reflect changes in our Programs, legal requirements, or business practices. Material changes will be communicated to enrolled Participants. Continued use of our Programs after an update constitutes acceptance of the revised Terms, except where a Participant has an existing enrollment agreement with different terms specifically negotiated, in which case the previously agreed terms continue to apply to that enrollment.

Assignment. We may assign or transfer our rights and obligations under these Terms in connection with a merger, acquisition, or sale of assets. Participants may not assign their rights under these Terms without our prior written consent.

No Waiver. A failure by us to enforce any provision of these Terms will not constitute a waiver of that provision or any other provision.

Force Majeure Reference. The Force Majeure provisions of Section 13 apply throughout these Terms and are incorporated by reference wherever performance is affected by an event described in that Section.

Relationship of the Parties. Except as expressly set out in a separate written licensing agreement, nothing in these Terms creates a partnership, joint venture, agency, or employment relationship between us and any Participant.

Headings. Section headings are included for convenience only and do not affect the interpretation of these Terms.

Language. These Terms are originally drafted in English. Where a translated version is provided for convenience, the English version controls in the event of any inconsistency, except where local law requires the local-language version to govern.

Survival. Sections 4 (Intellectual Property Rights, including the confidentiality obligations in Section 4.8), 10 and 11 (Training Deposits and Remaining Balance Refund Schedule, to the extent obligations have already accrued), 15.3 (Code of Conduct consequences), 20โ€“22 (Disclaimers, Limitation of Liability, Indemnification), and 25โ€“26 (General Provisions and Governing Law) survive the completion, expiration, withdrawal, or termination of a Participant's enrollment or any licensing relationship.

26. Governing Law and Dispute Resolution

These Terms are governed by the laws of the State of New Mexico, United States, without regard to its conflict-of-laws principles, except where mandatory consumer protection laws of your home jurisdiction require the application of local law to your specific consumer rights.

Any dispute arising out of or relating to these Terms or any Program that cannot be resolved informally will be subject to the exclusive jurisdiction of the state or federal courts located in New Mexico, United States, except where applicable mandatory consumer protection law entitles you to bring a claim in your local jurisdiction.
